# Understanding the RACE Act of 2025

This bill makes it easier for smaller companies to raise money from investors by streamlining the paperwork they need to file with the Securities and Exchange Commission (SEC). Specifically, it changes the rules for companies that want to offer multiple types of stock or securities to the public under what's called "Regulation A Tier 2," which is a program designed to help smaller businesses raise capital without going through the full, expensive process that larger companies must follow.

Here's what actually changes: Right now, if a company wants to offer a new type of security (like a different class of stock), they have to file a new offering statement with the SEC and wait for the agency to review and approve it before they can sell it. Under this bill, if a company has already successfully filed and gotten approval for one type of security, any new securities they want to offer that are "substantially similar" to the first one would be automatically approved the moment they file it—no waiting period required. The catch is that each individual offering has to be under $5 million, and the company can't exceed the total annual limit for this type of fundraising across all their offerings combined.

The practical effect is that smaller companies can move faster when they want to raise additional money through similar securities. Instead of waiting weeks or months for SEC review, they could theoretically start selling new securities immediately after filing. This is intended to help small businesses and startups access capital more quickly and with less regulatory burden. However, the bill doesn't change the underlying investor protections—companies still have to file detailed information with the SEC; they just don't have to wait for explicit approval before proceeding.
