# Understanding the Saving Our MALLS Act

This bill creates a tax break for owners of commercial and retail properties—like shopping malls, storefronts, and other business buildings—when they have debt forgiven. Normally, when a lender forgives or cancels a debt, the IRS treats that forgiven amount as income, and you have to pay taxes on it. This bill says that for certain commercial real estate debts, that forgiven amount won't count as taxable income.

Here's who this affects and how: If you own a retail business or shopping mall and took out a loan before March 1, 2023, and that loan gets forgiven or discharged between the end of 2023 and January 1, 2028, you can exclude that forgiven debt from your taxable income. For example, if a mall owner has a $5 million loan forgiven, they wouldn't have to pay federal income taxes on that $5 million. The property being financed has to be used in an active business and held as collateral for the loan throughout the time you owe it. This benefit is temporary and only applies to debt forgiveness happening within that specific five-year window.

The practical effect is that struggling retail property owners get financial relief during a difficult period for the commercial real estate industry. Instead of facing a huge tax bill on top of their existing financial problems, they can keep more money in their pockets. However, there's a trade-off: if you take advantage of this tax break, you have to reduce certain other tax benefits you might otherwise claim, like losses you can carry forward to future years or credits you've accumulated. The bill essentially lets the government recoup some of the tax benefit through these other reductions.
