The STOP Shells Act closes a loophole that allows companies to evade U.S. export controls by creating subsidiaries. Right now, if a foreign company is blacklisted by the U.S. government for national security reasons, that company can't legally receive certain sensitive American technology or goods. However, they can sometimes get around this by setting up subsidiary companies that aren't officially on the blacklist, even though the parent company owns them. This bill fixes that problem by requiring the Commerce Department to treat subsidiaries the same way as their parent companies if the parent owns at least 50% of the subsidiary. So if a blacklisted company tries to hide behind a subsidiary to buy restricted American technology, they won't be able to.

The bill also adds an important check: before the Commerce Department adds any company to the blacklist, they must assess whether applying strict export controls would actually help protect U.S. national security. Within two days of blacklisting a company, the department must notify Congress about this assessment. Additionally, the Commerce Secretary can grant case-by-case exemptions if it's in the national interest, but they must explain their reasoning to Congress within two days. This ensures the government has flexibility to make exceptions when needed while keeping Congress informed about these decisions.
