This bill requires large companies to conduct racial equity audits every two years and disclose any historical ties to slavery. Specifically, it applies to companies with either more than 100 employees or a market value of $300 million or more. These companies must examine their policies on diversity and inclusion, assess how those policies affect their business, and investigate whether they or their predecessors profited from slavery. If a company finds historical ties to slavery, it must either explain what steps it has already taken to address this, or outline plans for future action—which could include funding programs for low-income minority communities, donations to historically Black colleges and universities, or grants to Black organizations. Companies must publish these reports publicly and submit them to the Securities and Exchange Commission (SEC). If a company fails to submit a report or submits false information, it faces fines of $20,000 per day until the issue is corrected. Individual employees or officers who intentionally fail to report or submit false information face fines of $2,000 per day. The bill also creates a new Treasury Department office to distribute grant money from these fines to support startup programs and savings initiatives in low-income minority communities. Additionally, it allows people who own company stock to sue if they're harmed by a company's failure to comply, and it rewards whistleblowers who report violations with awards of at least $20,000.
