# Understanding the Infectious Disease Therapies Research and Innovation Act of 2022

This bill creates special tax breaks for people who invest money in small medical research companies that are working on treatments for infectious diseases. Specifically, it changes the rules about "passive losses"—a tax concept that normally prevents investors from using losses from investments they don't actively work in to reduce their other income taxes. Under current law, if you invest in a business but don't actively participate in running it, you generally can't use any losses from that investment to lower your overall tax bill. This bill carves out an exception for small medical research companies, allowing investors to use losses from these investments to offset other income.

The bill targets very specific companies: small businesses (with less than $1 million in annual revenue) where more than 80 percent of their research spending goes toward developing treatments for infectious diseases like COVID-19, flu, or other contagious illnesses. If you invest in one of these companies and it loses money, you can now use those losses to reduce your taxable income from other sources, even if you're not actively involved in running the company. There's a limit, though—you can only deduct losses up to the amount of money you actually put into the company specifically for research purposes.

The bill also provides additional tax benefits by allowing these small medical research companies to pass through research tax credits to their investors more easily, and it exempts their research expenses from certain alternative minimum tax calculations. These changes are designed to encourage investment in infectious disease research by making it more financially attractive for individuals to put money into these small biotech and pharmaceutical startups. The tax breaks take effect for losses and credits arising after December 31, 2022.

Infectious Disease Therapies Research and Innovation Act of 2022 This bill exempts from the definition of passive activity, for purposes of the passive loss tax rules, any qualified medical research activity of a specified medical research small business pass-thru entity. The bill defines specified medical research small business pass-thru entity as any domestic pass-thru entity if more than 80% of such entity's expenditures on research are paid or incurred in connection with qualified medical research activities and the gross receipts of such entity for the taxable year are less than $1 million.
