# Stop Corporate Inversions Act of 2024

This bill targets a tax strategy that large corporations use to reduce their U.S. tax bills by moving their official headquarters to foreign countries while keeping most of their business and employees in America. When a company does this, it's called a "corporate inversion," and it allows the company to claim it's a foreign corporation and avoid paying U.S. taxes on much of its worldwide income.

Here's how the strategy typically works: A big American company buys or merges with a smaller foreign company, then reorganizes so the foreign company becomes the parent corporation. Even though the vast majority of the company's employees, customers, and operations remain in the United States, the company can now claim to be foreign for tax purposes. This means it pays lower tax rates and can shift profits to countries with minimal taxes. The bill makes this strategy much harder to pull off by expanding the definition of what counts as a "corporate inversion" that must be treated as a U.S. company for tax purposes.

The main change is lowering the ownership threshold from 60 percent to 80 percent. This means if former American shareholders still own more than 20 percent of the company after the deal (instead of 40 percent under current rules), the company will be forced to pay U.S. taxes anyway. The bill also creates a new category called "inverted domestic corporations" that catches companies where American former owners still hold more than 50 percent of the stock, or where the company's management and decision-making still happens primarily in the United States with significant American business activities. There's an exception for companies that genuinely move their operations and do substantial business in their new foreign country, but the bar for proving this is high.

The practical effect is that major corporations will find it much more difficult and risky to use inversions as a tax avoidance strategy. This could mean more tax revenue for the federal government, though it might also discourage some large mergers and acquisitions involving foreign companies. For ordinary Americans, the potential benefit is more corporate tax revenue that could fund government services, though corporations might try to pass some costs to consumers or reduce wages.
