This bill makes it easier for courts to dismiss Chapter 11 bankruptcy cases filed by companies that are using bankruptcy as a tactical maneuver rather than as a genuine attempt to reorganize. Currently, companies can file for bankruptcy protection even when they have no realistic plan to reorganize, which can delay lawsuits from people harmed by their products or operations. This bill adds two new grounds for dismissal: cases that are "objectively futile" (meaning reorganization is impossible) and cases filed in "subjective bad faith" (meaning the company is using bankruptcy for improper reasons like gaining a litigation advantage or delaying creditors). The bill creates a presumption of bad faith if a company artificially changed its location to file in a particular court. It also presumes bad faith if the company's goal is to cap liability for multiple creditors, if there was a corporate restructuring in the past four years that affected the company's finances, if substantial assets were transferred to insiders, or if there's no valid reorganization plan. The bill also protects certain lawsuits from being automatically stopped when a company files for bankruptcy. Specifically, it carves out lawsuits involving mass harm claims (affecting at least 100 people) related to products or substances the company made or used, as well as lawsuits against related companies and parent corporations that may be liable for the debtor's actions. This prevents companies from using bankruptcy to shield themselves and their affiliates from accountability for widespread injuries or contamination.
