This bill prohibits certain U.S. companies from following foreign environmental and social responsibility rules, particularly the European Union's Corporate Sustainability Due Diligence Directive. The law targets companies in extractive industries (mining, oil and gas, agriculture, timber), manufacturing, defense, and critical minerals—essentially businesses that either work with the federal government or derive at least 25% of their revenue from extracting or processing raw materials. The bill says these "entities integral to national interests" cannot comply with foreign sustainability regulations that require companies to assess and report on environmental or social impacts in their operations and supply chains. The President can grant exemptions on a case-by-case basis if a company faces particular hardship. The bill aims to protect American companies from what supporters view as overly burdensome foreign regulations that differ from U.S. standards. However, companies can still follow U.S. laws and conduct normal business activities. The bill creates enforcement mechanisms including civil lawsuits, fines up to $1 million, and potential exclusion from federal contracts for up to 3 years for violations. Foreign court judgments against these companies related to sustainability regulations won't be recognized in U.S. courts.
