This bill makes it easier for companies to go public by relaxing some of the rules around how they prepare and file paperwork with the Securities and Exchange Commission (SEC). Right now, only smaller, newer companies called "emerging growth companies" get certain shortcuts when they're planning to sell stock to the public. This bill removes that restriction and lets any company use these same shortcuts, regardless of size or age.

The bill does two main things. First, it expands something called "testing the waters," which is basically when a company can have informal conversations with potential investors to gauge interest before officially filing all their paperwork. Currently, only emerging growth companies can do this. The bill lets any company do it. Second, it allows any company to submit a draft version of their registration statement to the SEC confidentially before making it public. This means companies can work with SEC staff behind the scenes to fix problems and get feedback before their documents become public record, which can be embarrassing if there are major issues that need correcting.

The timing requirements vary depending on what type of offering the company is doing. For companies going public for the first time, they have to make their confidential draft public at least 10 days before their stock starts trading. For companies that are already public and doing follow-up stock offerings, they only need to make it public 48 hours before the stock becomes available. This gives established companies more privacy during the preparation process while still eventually making everything transparent to investors and the public.

Encouraging Public Offerings Act of 2025This bill provides statutory authority for all issuers of securities to use certain offering procedures that are available to emerging growth companies.Specifically, the bill allows under statute issuers of securities to communicate with potential investors to ascertain interest in a contemplated securities offering, either before or after the filing of a registration statement (i.e., test the waters).Additionally, issuers are allowed under statute to submit to the Securities and Exchange Commission, with respect to an initial public offering, initial registration, or follow-on offering, a confidential draft registration statement for review prior to public filing.
