# Plain Language Summary of H.R. 9411

This bill makes it easier for young, smaller companies to go public by reducing the amount of financial paperwork they have to provide. Right now, when a company goes public, it typically has to show several years of audited financial statements (basically, verified records of their money coming in and going out). Instead, they only need to show financial statements going back to their earliest audited period that they're already presenting. This is particularly helpful when one company buys another company, because the acquiring company won't have to provide detailed financial records for the acquired company from years before the purchase happened.

The bill also protects companies that used to qualify as emerging growth companies but have since grown larger. Once they outgrow the "emerging growth company" status, they still won't be forced to go back and provide old financial statements from before they went public. This gives these companies some breathing room as they transition from being small startups to larger, more established businesses.

The practical effect is that it reduces the cost and complexity of going public for younger companies, which could make it easier and cheaper for them to raise money from investors. However, it also means investors might have less historical financial information available when deciding whether to buy stock in these companies.

To amend the Federal securities laws to specify the periods for which financial statements are required to be provided by an emerging growth company, and for other purposes.
